3. Proposals, Contracts & Payment Terms

• All quotations or proposals are valid for 1 (one) day unless otherwise stated.

• Work will begin only after receipt of an agreed deposit or full payment (as specified in the contract).

• Invoices are payable before any work commences unless otherwise agreed.

• We reserve the right to suspend or terminate services for unpaid invoices.
  
  

4. Client Responsibilities

• Clients must provide accurate, complete, and timely information necessary for the delivery of services.

• Delays caused by the client (e.g., late approvals, missing content) may affect timelines and are not the responsibility of Rum-Raisin Digital.

• The client is responsible for obtaining all necessary rights, licenses, and permissions for materials they supply.
  
  

5. Intellectual Property & Ownership

• All intellectual property created by Rum-Raisin Digital remains our property until full payment is received.

• Upon full payment, ownership of final deliverables (e.g., designs, campaigns, reports) is transferred to the client, unless otherwise agreed.

• We reserve the right to display completed work in our portfolio and marketing materials.
  
  

6. Confidentiality

• Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

• This obligation continues even after termination of the business relationship.
  
  

7. Limitation of Liability

• While we make every effort to achieve agreed outcomes, we do not guarantee specific results (e.g., sales conversions, search rankings, social media engagement).

• We are not liable for indirect, incidental, or consequential damages arising from the use of our services.

• Maximum liability is limited to the fees paid by the client for the specific service in question.
  
  

8. Third-Party Tools & Services

• Some services may involve third-party platforms (e.g., Google Ads, Meta Ads, SEO tools).

• We are not responsible for the policies, actions, or service failures of third-party providers.

• Any costs charged by third-party providers are the responsibility of the client unless otherwise agreed.
  
  

9. Termination

• Either party may terminate the agreement with 15 (fifteen) days’ written notice.

• Fees for services already rendered or expenses incurred will remain payable upon termination.

• Deposits are non-refundable unless otherwise stated.
  
  

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts in Fourways, Sandton.

11. Amendments

We may revise these Terms & Conditions at any time by updating this page. Continued use of the Site or Services constitutes acceptance of such changes.
